I had a similar problem with that driver version using Windows 7 64bit. My system locked up a couple of times just browsing the web. You might want to consider rolling back to an older version. When it comes to Nvidia drivers, it's a good idea to download them manually and hang on to the one that works the best, as the newer ones don't always work right. I'm still using v301.42 as anything after that just hasn't worked properly for me. Ironically 320.49 has been working just fine with my XP OS. I have a triple boot system, XP/Vista/Windows 7 64bit. And before you ask, I only use Vista because my TV tuner card doesn't work quite right with Windows 7 and not at all with XP. It's essentially just my TV, which I never watch anyway.
