Your system info wasn't helpful in the slightest. Luckily I'm psychic.

Uninstall your current AMD graphics driver and install the 12.1 preview driver.

Problem = bad drivers.

Actually the 12.2 previews or 12.1 officials will work as well. Basically, anything so long as it's not the 12.2 (or 12.3, going by the CCC) official or pre-certifieds will work.

Bad drivers. Very bad.

What are you saying? That driver is 12.2 yes? It says that in the link dude.

Search google for 12.1 Preview Driver an use that.

Make sure you uninstall your current driver first.

There is no 12.3. AMD screwed up. While their news posts, download links, etc. all say 12.2--which is correct--the CCC reports the version number as 12.3. This is incorrect.

12.2 is the correct version number for the latest AMD drivers. This is what you have, and that's what's causing the problem. You need to roll back to the official 12.1 set OR the 12.2 previews. Either will work. The official 12.2 release will not.

I'll just chime in and say the official 12.1 and 12.2 drivers will work fine, i just think the 12.1 preview is still the best we've had over the past few months :)

Of course. I uninstalled the previous driver 12.3 and installed 12.2 and so I ask, because there is no Overdrive. Restart the computer and still it's not there.

Even there is no the Performance tab, where he was Overdrive.

Hrm that is strange do you actually use the Overdrive? I normally leave it disabled and use MSI for my fan controller.

Yes, I was there set up Frequency GPU and Memory Frequency, and sometimes setting the fan was doing.

Hrm, i installed the on top of Preview driver this http://support.amd.com/us/gpudownload/windows/Pages/radeonaiw_vista32.aspx and OverDrive appeared.

But the problem still remained.

Deleted, again installed Preview driver entered the game, everything is fine. But there is no OverDrive.

Of course it is strange...

Well you can try using this: http://event.msi.com/vga/afterburner/download.htm
I actually prefer it over the ATI overdrive in the catalyst and you can change your core clock memory clock shader clock(if unlocked) and set a fan profile. Just make sure it works with whatever card you have(doesn't have to be MSI brand). One small bug when you start your system up you will have to unclick and reclick the user defined settings for them to take.
