I still get lag when I look at npcs, I thought this game was multithreaded?

This is not a CPU intensive game, you're most likely dealing with a software problem of sorts.

It is, the Radiant AI is cpu Intensive... have you ever tried looking at 7 npcs in the same room?

Well yes in fact i have 200 hours in the game, and several hundred in other games using the same engine so i'm fairly sure i've met more than 7 NPCs at once.
With the hardware you have, you could happily take on two dozen NPCs and the CPU won't even feel it.

Then why cant I...? Please Throw me a bone here, I lag playing mass effect and the Witcher too and it all seems to be because of my Processor...

What CPU is it? Quad core is kind of vague.

No, your hardware is definitely strong enough for the game.

Let's go through the standard troubleshooting stuff, wipe and reinstall audio and video drivers, defragment hard drive, reinstall game (or verify local files with Steam), run in compatibility mode, disable background processes etc.

Does the problem exist with most games, or just the three you mentioned?

Problem still persists and its happening with most games, if I have 3 npcs on my screen my frames go down to at leas 41 fps

Could be a number of issues really. Please post a dxdiag:
Start - Run (if Vista, the search box acts like Run) - type dxdiag - hit Enter - "save all info" button - open txt file and copy/paste EVERYTHING here

Oh and 41fps is anything but lagging performance.

In the city its worse it dips below 30 in most cases and barely stays above 24 in others

What other games? Other Beth games (Oblivion, Fallout 3) or other Gamebryo games?
The game CAN be cpu intensive, and even if it's multithreaded I think it's not using more than 2 cores.
(Take Nehrim, which is a total conversion mod for Oblivion: I recently bought a new pc, yielding a pretty big cpu upgrades, but Nehrim is still falling below 25 fps in some places, although my graphics card is hardly breaking a sweat.)
Radiant AI and too many scripts can be a problem for the cpu at times.

I thought that the d3d9 fix was useless after the 3rd update?

your probly right, i started playing when the game 1st came out, and i needed the d3d9 file.
Now, i've re-installed the game on a new computer (3days ago) and just put the file in there before i even started playing.
